Terms of Service

These Terms of Service ("Terms") govern access to and use of Converbase ("Converbase," "we," "us," or "our") websites, applications, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

Eligibility

You must be at least 18 years old and able to form a binding contract to use Converbase. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of unauthorized access. We may suspend or terminate accounts that violate these Terms or pose a security risk.

Acceptable use

You agree not to use Converbase to:

  • Violate applicable law, regulation, or third-party rights
  • Send unsolicited, deceptive, abusive, or harmful communications
  • Upload malware, attempt unauthorized access, or interfere with the Service
  • Impersonate others or misrepresent your affiliation
  • Circumvent rate limits, security controls, or usage restrictions

Permission-based email requirements

Email features are intended for permission-based communication only. You may send marketing or bulk email only to recipients who have consented to receive it or where another lawful basis applies. You must honor unsubscribe requests promptly and maintain accurate list status.

Prohibited recipient sources

You may not upload, import, or use purchased lists, scraped addresses, harvested contacts, or any recipients who have not provided appropriate consent for your messages. Converbase may suspend sending or accounts that appear to use non-consensual lists.

Anti-spam obligations

You are responsible for compliance with anti-spam and marketing laws applicable to your messages and recipients, including requirements for identification, consent, and opt-out mechanisms. Converbase provides unsubscribe and suppression tooling, but compliance with law remains your responsibility.

Customer responsibility for content and recipients

You control the content of campaigns, landing pages, messages, and the audiences you message through the Service. You represent that you have all rights necessary to use and distribute your content and recipient data. Converbase does not pre-screen all customer content but may remove or restrict content that violates these Terms or applicable law.

Sending domains and DNS configuration

To send email or serve landing pages on custom domains, you must configure DNS records as instructed by Converbase. You represent that you control the domains you add and authorize us to verify and use them to provide the Service. Incorrect DNS configuration may affect deliverability or availability.

Third-party services

The Service integrates with third-party providers such as messaging platforms, Amazon SES, Cloudflare, Supabase, and hosting infrastructure. Your use of those integrations may be subject to separate third-party terms. We are not responsible for third-party services outside our reasonable control.

Service availability

We strive to keep Converbase available and reliable, but the Service is provided on an "as available" basis. Maintenance, outages, provider failures, or force majeure events may cause interruptions. We may modify or discontinue features with reasonable notice where practicable.

Fees and billing

Some features may be offered free during preview or early access periods. If paid plans or billing are enabled for your workspace, fees, payment terms, and renewal rules will be presented at purchase or in workspace billing settings. Failure to pay applicable fees may result in suspension of paid features.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create deliverability or abuse risk, fail to pay required fees, or if continued provision becomes impractical or unlawful. Provisions that by nature should survive termination will remain in effect.

Intellectual property

Converbase and its licensors retain all rights in the Service, software, branding, and documentation. You retain ownership of content you submit, and you grant Converbase a limited license to host, process, and display that content solely to provide the Service.

Confidentiality

Each party may receive non-public information from the other. You agree to use Converbase confidential information only as needed to use the Service and to protect it with reasonable care. This section does not limit our use of aggregated or de-identified data for service improvement.

Data and privacy

Our collection and use of personal information is described in the Privacy Policy. You are responsible for providing appropriate notices to your subscribers and contacts and for processing their data lawfully when using Converbase as part of your operations.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EMAIL WILL BE DELIVERED TO ALL RECIPIENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERBASE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO CONVERBASE FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

Indemnity

You will defend, indemnify, and hold harmless Converbase and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, recipient lists, use of messaging or email features, violation of these Terms, or violation of applicable law.

Changes to terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.
